A. On May 3, 2021 Inpixon (Nasdaq: INPX) announced it has acquired Design Reactor, Inc. (d/b/a The CXApp) effective as of April 30, 2021. A. The transaction consists of the acquisition of the outstanding capital stock of The CXApp company, which would include all products, technologies, customer contracts, partnership agreements, and intellectual property.

Their SaaS platform provides end to end logistics, management, and engagement touchpoints for companies events, meetings, digital communities, and campus experiences. Streamlining all digital touchpoints across the workplace into one central hub, The CXApp is the industry-leading workplace solution.
A. Inpixon (Nasdaq: INPX), headquartered in Palo Alto, California, is the innovator of Indoor Intelligence™ for people, places and things. A. The addition of The CXApp and the team that develops and supports them is a pivotal and transformative step in Inpixon's mission to be the global leader for Indoor Intelligence. Having a comprehensive out-of-the-box solution that combines a mobile-first employee app with mapping and positioning to provide personalized and contextual on-site journeys that brings customer, employee and visitor experience initiatives together sets Inpixon apart from competitors. The company believes the market will significantly benefit from their agile real-time platform.
A. The CXApp will become part of a larger organization where it can leverage more breadth and depth of resources to support sales, marketing, development, support, and back-office initiatives. The CXApp clients will also benefit from having access to Inpixon’s portfolio of Indoor Intelligence solutions including indoor mapping, indoor positioning, indoor device detection, indoor analytics, and GPS offerings. Bringing mapping, positioning and an app together in one team will improve time to deployment, getting our app in hands of users faster. Beyond expanding product wise, the acquisition will also create potential cross-selling opportunities with our clients across the globe.
A. Current and in development CXApp solutions will be maintained, supported and enhanced. The companies' respective product development efforts will continue as previously planned, and the teams will work together to develop a product roadmap and products that leverage potential synergies. We will make new investments in Campus Experience, Events and EBC solutions to meet customer requirements and create new synergies with Inpixon mapping and location services.
A. Yes. Inpixon considers The CXApp’s team to be highly talented, and business continuity is of utmost importance. Inpixon strived to empower its employees, to provide opportunities for growth and development, and to value their input and contributions in moving the business forward.
A. All existing licensing, support and service arrangements will continue without interruption. All customers will continue to work with their respective existing support and service contacts. Business continuity and excellent customer service will continue.
A. The CXApp customers/partners should continue with their primary contact and representative for support, and Inpixon customers and partners should continue to contact their Inpixon contacts and representatives.
